Independent Broker Referral and Enrollment Agreement

1. PARTIES

This Broker Agreement (“Agreement”) is entered into as of the Effective Date set forth below, by and between:

Anglican Care, a 501(c)(3) nonprofit religious organization that operates a Health Care Sharing Ministry (the “Ministry”), with its principal place of business in the State of Florida; and

The independent broker or referral partner identified in the signature block below (the “Broker”).

2. RECITALS

WHEREAS, the Ministry facilitates the voluntary sharing of medical needs among its Members in accordance with its Statement of Faith and Sharing Guidelines;

WHEREAS, the Ministry desires to expand its membership through the efforts of independent brokers and referral partners who share its mission and values;

WHEREAS, the Broker represents that the Broker is duly licensed (where applicable) and wishes to promote the Ministry’s programs to prospective Members in accordance with applicable law;

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:

3. DEFINITIONS

Member: An individual or family enrolled in Anglican Care whose membership is in good standing and whose Monthly Contribution is current.

Monthly Contribution: The amount a Member contributes each month to participate in the sharing ministry, as set forth in the program level selected at enrollment.

Enrollment: The completion of an Anglican Care enrollment form, approval by the Ministry, and commencement of membership.

Broker-Led Enrollment: An enrollment in which the Broker directly assists the prospective Member with completing the enrollment process through the BrokerConnect portal or paper forms.

Self-Enrollment: An enrollment initiated by a prospective Member through a unique enrollment link assigned to the Broker, where the Member completes the process independently.

Referred Member: A Member who enrolls through either a Broker-Led Enrollment or a Self-Enrollment using the Broker’s unique link, resulting in the Broker being credited with that enrollment.

Commission: The recurring compensation paid to the Broker for each Referred Member, calculated as a percentage of the Member’s Monthly Contribution.

Tier 1 States: States in which the Ministry has determined that brokers may actively market, promote, and facilitate enrollments under applicable Health Care Sharing Ministry safe harbor laws.

Tier 2 States: States in which the Ministry holds a safe harbor exemption but where broker selling activity is restricted by law; Brokers may only refer prospective Members who then enroll directly.

4. APPOINTMENT AND SCOPE OF AUTHORITY

4.1 Appointment

The Ministry appoints the Broker as an independent, non-exclusive referral partner authorized to promote Anglican Care programs and facilitate enrollments in accordance with the terms of this Agreement. The Broker accepts this appointment and agrees to act in good faith and in the best interest of the Ministry and its Members.

4.2 Independent Contractor

The Broker is an independent contractor and not an employee, agent, partner, or joint venturer of the Ministry. The Broker has no authority to bind the Ministry, incur obligations on its behalf, or make representations beyond those authorized in writing by the Ministry. The Broker is solely responsible for all taxes, licenses, insurance, and expenses associated with the Broker’s business activities.

4.3 Scope of Authority

The Broker is authorized to:

  • Promote and explain Anglican Care programs to prospective Members
  • Distribute Ministry-approved marketing materials and enrollment forms
  • Assist prospective Members with completing enrollment applications (Broker-Led Enrollment)
  • Generate and share unique Self-Enrollment links through the BrokerConnect portal
  • Answer general questions about the Ministry’s programs using approved materials

The Broker is expressly NOT authorized to:

  • Use the word “insurance” or imply that Anglican Care provides guaranteed coverage
  • Represent Anglican Care as an insurance company or health plan
  • Make promises or guarantees about the sharing of medical needs
  • Collect Monthly Contributions directly from Members
  • Modify enrollment forms, agreements, or Ministry-approved materials
  • Access or request a Member’s health information under any circumstances
  • Operate in Tier 3 (hostile) states as identified by the Ministry from time to time

4.4 State-Specific Restrictions

In Tier 2 states, the Broker may only refer prospective Members by sharing the Ministry’s website or a Self-Enrollment link. The Broker may not actively sell, market door-to-door, or conduct in-person enrollment presentations in these states. The Ministry will maintain and update the list of Tier 1, Tier 2, and Tier 3 states and notify the Broker of changes. The Broker is responsible for compliance with all state-specific requirements applicable to the Broker’s activities.

5. BROKER OBLIGATIONS AND RESPONSIBILITIES

The Broker agrees to the following obligations as a condition of this Agreement:

Compliance with Law: The Broker shall comply with all federal, state, and local laws and regulations applicable to the Broker’s activities, including obtaining and maintaining any licenses required to operate as an insurance broker or consultant in the states where the Broker is active.

No “Insurance” Language: The Broker shall never use the word “insurance,” “policy,” “premium,” “deductible,” “claim,” or “coverage” when describing Anglican Care. The Broker shall accurately represent the Ministry as a Health Care Sharing Ministry where Members voluntarily share medical needs.

Approved Materials Only: The Broker shall use only Ministry-approved marketing materials, enrollment forms, and educational content. The Broker shall not create, distribute, or publish any materials that have not been approved in writing by the Ministry.

Accurate Representations: The Broker shall make no representations about the Ministry’s programs, sharing amounts, eligibility, or processes beyond what is contained in the Ministry’s official Member Handbook, Sharing Guidelines, and approved marketing materials.

No Health Data Access: The Broker shall not request, collect, store, or access any prospective or current Member’s health information, medical records, or medical need submissions. All health information is submitted directly to the Ministry by the Member.

No Collection of Funds: The Broker shall not collect Monthly Contributions, enrollment fees, or any other funds from Members. All payments are processed directly by the Ministry through its approved payment systems.

Confidentiality: The Broker shall maintain the confidentiality of all non-public information about the Ministry, including pricing, policies, member data, and business strategies, both during and after the term of this Agreement.

Faith-Based Mission: The Broker shall conduct activities in a manner consistent with the Christian values and mission of Anglican Care. The Broker shall not engage in deceptive, misleading, or high-pressure sales tactics.

Critical Compliance Note:
Using the word “insurance” or implying guaranteed coverage is grounds for immediate termination of this Agreement and forfeiture of future commissions.

6. MINISTRY OBLIGATIONS

  • Provide the Broker with Ministry-approved marketing materials, enrollment forms, and program documentation.
  • Maintain the BrokerConnect portal for enrollment tracking, commission reporting, and link generation.
  • Process enrollment applications in a timely manner and notify the Broker of enrollment status.
  • Calculate and pay commissions in accordance with Section 7 of this Agreement.
  • Provide the Broker with access to current state compliance information and updates.
  • Handle all Member health information, medical need submissions, and payment processing directly.

7. COMMISSION STRUCTURE

The Ministry shall pay the Broker a recurring commission for each Referred Member, calculated as a percentage of the Member’s Monthly Contribution, as follows:

Tier Commission Rate Qualification
Base Tier 30% recurring 1 – 9 Referred Members
Premium Tier 35% recurring 10+ Referred Members

7.1 Payment Terms

Commissions are paid monthly, within fifteen (15) days after the end of each calendar month, for all Referred Members whose Monthly Contributions were received during that month. Commissions are paid via the Broker’s selected payment method on file with the Ministry.

7.2 Tier Advancement

When the Broker’s active Referred Member count reaches ten (10), the commission rate automatically increases to 35% for all Referred Members, including those previously enrolled. The new rate applies to the next payment cycle after the threshold is reached. If Referred Member count falls below ten (10) due to cancellations, the rate reverts to 30% at the start of the following month.

7.3 Duration of Commission

Commissions are recurring and continue for the life of each Referred Member’s active membership, provided this Agreement remains in effect and the Broker is not in breach. If a Referred Member cancels and re-enrolls within ninety (90) days, the Broker continues to be credited. If re-enrollment occurs after ninety (90) days, the enrollment is treated as a new referral only if the Member uses the Broker’s link.

8. TERM AND TERMINATION

8.1 Term

This Agreement begins on the Effective Date and continues for a term of one (1) year. The Agreement automatically renews for successive one-year terms unless either party provides written notice of non-renewal at least thirty (30) days before the end of the current term.

8.2 Termination for Convenience

Either party may terminate this Agreement at any time, for any reason, by providing thirty (30) days’ written notice to the other party.

8.3 Termination for Cause

The Ministry may terminate this Agreement immediately upon written notice if the Broker:

  • Uses the word “insurance” or implies guaranteed coverage in any communication
  • Violates any state law or regulation governing the Broker’s activities
  • Accesses, requests, or discloses Member health information
  • Fails to maintain required licenses or registrations
  • Engages in fraud, misrepresentation, or deceptive practices
  • Uses unapproved marketing materials or makes unauthorized representations
  • Operates in a Tier 3 (restricted) state

8.4 Effect of Termination

Upon termination, the Broker shall immediately:

  • Cease all marketing and promotional activities on behalf of the Ministry
  • Return or destroy all Ministry-provided materials, forms, and documents
  • Remove all Anglican Care content from the Broker’s websites and social media
  • Cease representing themselves as an authorized broker or partner of the Ministry

8.5 Post-Termination Commissions

If this Agreement is terminated for convenience (Section 8.2), the Broker shall continue to receive recurring commissions on existing Referred Members for a period of twelve (12) months following the effective date of termination, provided the Broker remains in compliance with all surviving obligations.

If this Agreement is terminated for cause (Section 8.3), all commissions shall cease immediately, and the Broker shall forfeit any unpaid commissions. Referred Members enrolled prior to termination shall remain Members of the Ministry.

9. REPRESENTATIONS AND WARRANTIES

9.1 Broker Representations

The Broker represents and warrants that:

  • The Broker holds all licenses, registrations, and authorizations required to perform broker or consultant activities in each state where the Broker operates
  • The Broker will comply with all applicable federal, state, and local laws and regulations
  • The Broker is not subject to any disciplinary action, suspension, or revocation by any licensing authority
  • The Broker has read and understands the Anglican Care Member Handbook, Sharing Guidelines, and all approved marketing materials
  • The Broker will not make any false, misleading, or deceptive statements about the Ministry
  • The Broker has the legal capacity and authority to enter into this Agreement

9.2 Ministry Representations

The Ministry represents and warrants that:

  • Anglican Care is a duly organized 501(c)(3) nonprofit religious organization in good standing
  • The Ministry operates as a Health Care Sharing Ministry in accordance with applicable federal and state law
  • The Ministry has the authority to enter into this Agreement and compensate brokers as described herein
  • All marketing materials and program documentation provided to the Broker are accurate and current

10. INDEMNIFICATION

10.1 Broker Indemnification

The Broker shall indemnify, defend, and hold harmless the Ministry, its officers, directors, employees, and Members from and against any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to the Broker’s breach of this Agreement, violation of applicable law, use of “insurance” language, unauthorized representations, or any negligent or wrongful act by the Broker.

10.2 Ministry Indemnification

The Ministry shall indemnify the Broker from claims arising directly from the Ministry’s breach of this Agreement or its own negligence, provided the Broker was acting within the scope of this Agreement at the time of the incident.

11. LIMITATION OF LIABILITY

Except for indemnification obligations and breaches of confidentiality, neither party’s aggregate liability under this Agreement shall exceed the total commissions paid to the Broker in the twelve (12) months preceding the event giving rise to the claim. Neither party shall be liable for indirect, consequential, or punitive damages.

12. MISCELLANEOUS

12.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in Florida, unless the parties agree to mediation or arbitration.

12.2 Entire Agreement: This Agreement, together with the Ministry’s Member Handbook, Sharing Guidelines, and approved marketing materials, constitutes the entire agreement between the parties and supersedes all prior agreements, written or oral, regarding the subject matter herein.

12.3 Amendments: This Agreement may be amended only by written instrument signed by both parties. The Ministry may update state compliance lists, commission rates, and program terms upon thirty (30) days’ written notice to the Broker.

12.4 Assignment: The Broker shall not assign or transfer this Agreement or any rights hereunder without the prior written consent of the Ministry. The Ministry may assign this Agreement to a successor organization.

12.5 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.6 Notices: All notices under this Agreement shall be in writing and delivered by certified mail, email with read receipt, or hand delivery to the addresses set forth in the signature blocks below.

12.7 No Waiver: The failure of either party to enforce any provision of this Agreement shall not be deemed a waiver of that provision or any other provision.

12.8 Survival: Sections 5 (confidentiality), 7.3 (commission duration), 8.5 (post-termination commissions), 9 (representations), 10 (indemnification), and 12.1 (governing law) shall survive termination of this Agreement.

13. SIGNATURES

By signing below, the parties acknowledge that they have read, understood, and agreed to all terms of this Broker Agreement.
